TERMS AND CONDITIONS By registering to access and/or use one or more of the services provided by Global Securities Information ("GSI") on its site or in its LIVEDGAR product, you agree to only access and use such services as set forth in your or your company's agreement with GSI and in the instructions for same. GSI reserves the right to establish a limit on the number of no charge alerts issued to you for the term of the Agreement. To the extent permitted by applicable law, you shall not (a) resell, license, transmit or commercially distribute access to LIVEDGAR, or any portion thereof, without the express written consent of GSI; (b) directly or indirectly use, rent, resell, change, recompile, or manipulate any of the information or compilations of LIVEDGAR, or any portion thereof, for commercial gain, nor for purposes of distribution or publication, without the express written consent of GSI; (c) permit or allow any other person to use or access the user name and password provided to you; (d) access or attempt to access services or products for which you are not a registered user; (e) attempt to or actually disrupt, impair, interfere with, alter or modify the services; nor (f) use the services in any manner not expressly permitted in your or your company’s agreement with GSI. Any unauthorized access and/or use of any service offered herein will subject you and/or your company to immediate termination without prior notice. In addition, GSI reserves the right to take legal action, where applicable, to further address any such unauthorized access/use. The services and information provided is provided for informational purposes only. Under no circumstances shall any information provided by GSI as part of the services be construed as a buy or sell recommendation or investment advice of any kind whatsoever. In the event of a conflict between these terms and the terms of your company’s agreement with GSI, the terms of your company’s agreement with GSI will control. You agree that you have read the foregoing and agree to be bound by same.
